In most Spanish family businesses and SMEs, the shareholders’ personal assets and those of the company are more entangled than is advisable: personal guarantees, property used in the business, loans between the company and its shareholders, inheritances that distribute shares without a thought for how the company will then be run.

We handle civil matters with that perspective: not as a separate field from corporate law, but as its other face.

Succession planning with a business involved

A will that divides shares equally between four heirs can paralyse a healthy company for a decade. Succession planning in a family business requires coordinating three instruments that are almost never drafted together: the will, the articles of association and the family protocol. We work on all three at once.

Property and leases

We act on property purchases — with registry, planning and encumbrance checks before signing — and on residential and commercial leases, both in drafting and in claims for non-payment, termination and eviction.

Debt recovery

For ordinary recovery of unpaid invoices we apply a test of proportionality: formal notice and negotiation first, summary proceedings next, and enforcement only where there are traceable assets. Before suing we check solvency; winning an uncollectable judgment is an expensive victory.
