Strategic legal consultancy
Ongoing advice for the board: corporate structure, governance, risk mapping and support on decisions that matter.
Some business decisions do not reach a law firm as legal matters. They arrive as an opportunity, as tension between shareholders, or as a transaction that has to close in six weeks. The value of advice then lies not in answering an isolated question but in understanding the business well enough to anticipate the consequences.
This is the line of work that distinguishes our practice: ongoing support to company management, with accumulated knowledge of its structure, its contracts and its history, so that we can act before the problem takes the shape of a claim.
Retained advice
We act as the company’s external firm of reference: availability for day-to-day queries, review of routine contracts, preparation of general meetings and boards, and follow-up of open matters. The advantage compounds: when a significant transaction arrives, there is no need to explain the company from scratch.
Structure and governance
Many companies carry a corporate structure that answered the reality of ten years ago. Reviewing it — the number of entities, the allocation of assets, the management regime, the flows between companies — usually reduces both risk and cost, and is a precondition for almost any investor entry or sale.
Risk map
We produce an ordered inventory of the company’s real legal exposure: critical contracts unsigned or expired, personal guarantees given by shareholders, data protection and employment compliance, latent disputes, board liability. The aim is not a list of fears but a set of priorities: what to fix this quarter, what can wait and what is knowingly accepted.
